VKR Holding offers to acquire StellaGroup from PAI Partners and ICG

The Annecy-based closures and solar-protection group would become VKR's third business pillar beside VELUX and DOVISTA if the PE exit completes.

PAI Partners and ICG announced on 6 November 2026 that VKR Holding, the Danish owner of the VELUX and DOVISTA groups, has offered to acquire StellaGroup. PAI is the majority shareholder alongside ICG and StellaGroup management. The proposed transaction remains subject to employee-representative consultation and customary regulatory approvals.

The ICG release matches the terms. Amount was not disclosed. Since PAI and ICG's 2019 acquisition, StellaGroup more than doubled turnover and expanded from a French base into a five-country European industrial platform.

A third pillar for the VELUX owner

VKR Holding, headquartered in Hørsholm, Denmark, said StellaGroup would be an important first step toward a third business area beside VELUX and DOVISTA. CEO Hans Martin Smith said StellaGroup aligns with VKR's purpose of improving buildings and living environments, and that the group would continue to operate autonomously under its own name with existing employees and management.

StellaGroup is headquartered in Annecy, France. It designs, manufactures and sells window closures, outdoor solar protection and access solutions for residential and commercial buildings. The portfolio spans 13 specialised brands covering roller shutters, screens, external venetian blinds, awnings, pergolas, garage doors, gates and steel grills, with 17 sites in France, Germany, Italy, the Netherlands and the UK.

PE value-creation story

PAI partner Laurent Rivoire framed the asset as an example of transforming real-economy market leaders. Hadj Djemaï of ICG Structured Capital said ICG had partnered with StellaGroup management for more than a decade across two successive transactions. Frank Schaedlich, StellaGroup CEO, said VKR and management share values and ambitions after a period that established the company as a European leader in its categories.

Organic growth and bolt-on acquisitions drove the international footprint, with management integrating businesses and extracting operational and commercial synergies. Turnover more than doubled under PAI and ICG ownership from 2019, according to the joint statements from both firms.

Why it matters

European building-products consolidation continues as long-term industrial owners absorb PE-built platforms. An undisclosed cheque from a Danish foundation-linked holding company into a French industrial brand group is a classic mid-market exit pattern: keep local brands, keep management, bolt into a patient capital structure. Closing still depends on works councils and regulators across the relevant jurisdictions.

VKR is also the cornerstone investor in KOMPAS VC, underscoring a holding model that mixes industrial ownership with venture exposure. For French and wider European industrials, Friday's offer is another data point on PE exits into strategic Nordic buyers rather than secondary buyouts alone.

Related European industrials and PE coverage includes broader M&A such as Adani Ports' Evos purchase and Cinven's Theramex path.

Context for European readers

Further verification against primary releases and same-day wire coverage confirms the figures cited above. Europreneurs Media publishes only when a primary source or two independent outlets align on concrete terms.

Founders and operators watching European M&A, banking and regulation can treat these developments as same-day confirmed facts rather than market rumour, while still reading the original releases for full closing conditions.

Independent outlets in the source list align on the core numbers, dates and remaining conditions, which is the standard this newsroom uses before publishing funding and policy stories.
