AkzoNobel and Axalta win conditional EU approval for coatings merger of equals

Brussels signed off on the roughly USD 25 billion coatings combination after a targeted remedy on European vehicle refinish, with closing still aimed for early 2027.

AkzoNobel and Axalta said on 6 November 2026 that the European Commission granted conditional approval for their proposed all-stock merger of equals, which the companies frame as creating a premier global coatings group. Closing remains subject to pending regulatory approvals and is expected in early 2027.

Reuters coverage put the deal at about USD 25 billion. The remedy is a divestment of AkzoNobel's European vehicle-refinish business. The companies said the commitments remove horizontal overlap in the EEA, UK and Switzerland, and that no other competition issues were identified in other markets.

A coatings combination with European conditions

The joint GlobeNewswire release said the combination brings together complementary portfolios across powder coatings, aerospace, refinish, mobility, marine and protective coatings, industrial coatings and decorative coatings. Combined revenue was put at approximately USD 17 billion. Greg Poux-Guillaume, AkzoNobel CEO, is set to lead the combined company; Axalta CEO and president Chris Villavarayan is to serve as deputy CEO.

AkzoNobel is listed in Amsterdam (AKZA) with an ADR (AKZOY). Axalta trades on the NYSE (AXTA). Brands cited on the AkzoNobel side include Dulux, International, Sikkens and Interpon. The parties described constructive discussions with the Commission and said the remedy preserves competition and customer choice in European vehicle-refinish coatings while keeping the strategic benefits of the overall deal.

What must be sold

Reuters and specialist competition outlets including MLex reported that AkzoNobel must divest its European vehicle-refinish coatings business, including a production site, intellectual property and personnel, to an approved buyer in coatings or a related industry. That package is the price of clearance for a deal that had drawn Commission concern only on that horizontal overlap.

Path to closing

US securities filings for the transaction were already in motion earlier in 2026, including an F-4 registration statement declared effective in June. The companies stress that other regulatory approvals are still pending. Early-2027 closing remains the working timeline in Friday's announcement.

Industrial logic

Coatings remain a scale-and-technology game: powder, aerospace, marine, decorative and refinish each have different customer cycles. Combining AkzoNobel's decorative and protective strength with Axalta's mobility and refinish depth is the strategic pitch. Europe's price for that pitch is a clean exit from overlapping vehicle-refinish capacity so rivals and body shops keep a competitive supplier set across the continent.

For European industrials watchers, the clearance is a large same-day M&A marker: a Dutch paints major and a US coatings peer stitching a global platform under EU merger control with a surgically defined European carve-out. Europreneurs Media will track the buyer for the refinish package and any further jurisdiction clearances. Related industrial M&A coverage includes Adani Ports' agreed purchase of Dutch liquids storage operator Evos and Germany's stake deal in tank maker KNDS.

Quotes from the companies

Poux-Guillaume called Commission approval "an important milestone" and said the groups are "well on track" to bring together complementary technologies and teams. Villavarayan said the combined group would be "better positioned to serve our customers around the world" and to accelerate investment in differentiated technologies that shape the future of the industry.
